1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Krendosh Security Ltd, a company registered in England and Wales under company number 12638491 with VAT number GB395104827, and registered office at 85 Great Portland St, London W1W 7LT, United Kingdom ("Company", "we", "our", or "us"). By accessing or using our website, products, services, or applications (collectively, "Services"), you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use our Services.

  • If you are an entity, you are validly incorporated and in good standing

All content, materials, software, technology, and intellectual property contained in or provided through our Services, including but not limited to trademarks, logos, text, graphics, images, and source code, are owned by or licensed to Krendosh Security Ltd and are protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for lawful business purposes. This license does not include any right to:

We are committed to protecting your Personal Data in accordance with the UK General Data Protection Regulation (UK GDPR) and all applicable data protection laws. Our use of your Personal Data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

5.2 Data Processing

Where the Company acts as a Data Processor, we will process Personal Data only on your documented instructions and will maintain appropriate technical and organisational measures to protect Personal Data against unauthorised processing, accidental loss, destruction, or damage. We maintain a Data Processing Addendum (DPA) available upon request.

5.3 Data Security

The Company implements industry-standard security measures including encryption, access controls, and regular security assessments. However, no method of transmission over the internet is entirely secure. You acknowledge that we cannot guarantee absolute security.

6. Confidentiality

6.1 Confidential Information

Each party agrees to:

  • Keep the other party's Confidential Information strictly confidential
  • Limit disclosure to employees and contractors with a legitimate need to know
  • Implement reasonable security measures to protect Confidential Information
  • Not use Confidential Information for any purpose other than performing under these Terms

6.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Was publicly available at the time of disclosure
  • Was rightfully possessed before disclosure
  • Is independently developed without reference to Confidential Information
  • Is lawfully received from a third party without confidentiality obligations
  • Must be disclosed by law or court order (with notice to the disclosing party)

7. Limitation of Liability

7.1 Exclusions

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profit, revenue, or business opportunity
  • Loss of data or corruption of data
  • Loss of reputation or goodwill
  • Business interruption

These exclusions apply even if the Company has been advised of the possibility of such damages.

7.2 Liability Cap

Except for breaches of confidentiality obligations, your indemnification obligations, or either party's infringement of intellectual property rights, the total cumulative liability of either party arising out of or relating to these Terms shall not exceed the total fees paid or payable by you in the 12 months preceding the claim.

8. Warranties and Disclaimers

8.1 Disclaimer

Our Services are provided "as-is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted or error-free operation
  • Compatibility with your systems

8.2 Service Level

While we strive to maintain high availability, we do not guarantee uninterrupted service. Scheduled maintenance, updates, and unforeseen circumstances may result in temporary service interruptions. Specific service level agreements, if any, are detailed in your contract with the Company.

9. Indemnification

You agree to indemnify, defend, and hold harmless Krendosh Security Ltd and its officers, directors, employees, agents, and successors from any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • Your breach of these Terms
  • Your use of our Services in violation of applicable law
  • Your infringement or violation of third-party rights
  • Your Content or use of Your Content

10. Term and Termination

10.1 Term

These Terms commence on the date you first access our Services and continue until terminated in accordance with Section 10.2.

10.2 Termination

Either party may terminate these Terms at any time by providing written notice to the other party. The Company may terminate your access to our Services immediately and without notice if you violate these Terms or applicable law. Upon termination:

  • Your license to use our Services immediately ceases
  • All provisions that survive termination remain in effect
  • You must cease all use of our Services
  • We may delete or retain Your Content in accordance with our policies

10.3 Survival

The following sections survive termination or expiration: Intellectual Property Rights, Data Protection and Privacy, Confidentiality, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

11.2 Jurisdiction

Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising out of or relating to these Terms or our Services.

11.3 Dispute Resolution Process

Before pursuing legal action, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, either party may pursue legal remedies through the courts of England and Wales.

12. Export Compliance

Our Services may be subject to United Kingdom export control laws and regulations. You agree not to export, re-export, or transfer our Services or any related information or technology to prohibited countries or individuals, or for prohibited uses, without appropriate authorisation.

13. Third-Party Links and Content

Our Services may contain links to third-party websites and services. We do not endorse, control, or assume responsibility for the content, accuracy, or practices of third-party services. Your access to and use of third-party services are at your own risk and subject to their terms and conditions.

15. Entire Agreement

16. Severability

The remaining provisions shall continue in full force and effect.

17. Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without the prior written consent of the Company. The Company may assign these Terms to any successor or affiliate without notice or consent. Any attempted assignment in violation of this section is void.
